Limited Partnership (LP)
A limited partnership (LP) is comprised of one or more general partners and one or more limited partners in order to form a separate, legal entity. Very much like a General Partnership, save for the separate, limited status of the limited partners. So Jeff contributes his capital to the LP in exchange for an interested in the limited partnership. Bill acts as general partner and manages the construction. This scenario would allow for the maximum of liability and asset protection for Bill and Jeff in their venture.

Advantages of a Limited Partnership

Depending on the situation, the Limited Partnership could foster conflict between general partners, and result in one partner entering into a legally binding agreement without the consent of the other partners.
